1. Introduction & Acceptance

Fan-Verse.ai is an AI-powered digital engagement platform operated by Clocr, Inc., a Delaware corporation doing business as FANVERSEAI, operating as Fan-Verse.ai (“Company,” “we,” “us,” or “our“). The platform enables creators to build AI-powered digital twins — interactive AI representations that deliver creator-authored content to fans — and enables fans to engage with those digital twins.

These Terms apply to all users of Fan-Verse.ai, including users who access the platform through a co-branded partner interface. By creating an account, accessing the platform, or clicking “I Agree,” you (“User,” “you,” or “your“) accept these Terms in full. If you are using Fan-Verse.ai through a co-branded partner’s platform, you are creating a Fan-Verse.ai account and these Terms govern your relationship with Fan-Verse.ai directly.

We may update these Terms from time to time. We will notify you of material changes by email or prominent in-platform notice at least thirty (30) days before the change takes effect. Continued use after the effective date of an update constitutes acceptance. If you object to any update, your remedy is to delete your account before the update takes effect.

2. Eligibility

You must be at least 18 years old to create a Fan-Verse.ai account or use the platform. By creating an account, you represent and warrant that you are 18 or older. We do not knowingly collect data from or permit platform use by anyone under 18. If we discover a user is under 18, we will immediately terminate their account and delete their data. The platform is intended for users located in the United States. International access is provided on an as-available basis; users outside the US are responsible for compliance with local laws.

3. Account Registration & Security

To access most platform features, you must create an account by providing accurate, current, and complete information. You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; and (c) notifying us immediately at privacy@fan-verse.ai if you suspect unauthorized access. We are not liable for losses caused by unauthorized account use.

You may not create an account on behalf of another person without their express written authorization, create multiple accounts to circumvent restrictions or bans, or use automated means to create accounts. We reserve the right to refuse registration or terminate accounts at our discretion.

4. The Platform — What Fan-Verse.ai Provides

4.1 Platform Description

Fan-Verse.ai provides AI-powered digital engagement technology including: (a) Digital Twins — AI voice and likeness representations of creators that deliver creator-authored content to fans; (b) Fan Engagement Features — tools enabling fans to interact with creator digital twins; (c) Content Tools — features enabling creators to submit, manage, and monetize content; and (d) Co-Branded Experiences — instances of the platform deployed under partner brands.

4.2 AI Disclosure — Required Notice

4.3 Platform Availability

We provide the platform on an “as available” basis. We do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features at any time with reasonable notice for material changes. We are not liable for downtime, feature changes, or service interruptions beyond our reasonable control.

5. Acceptable Use

5.1 Permitted Uses

You may use Fan-Verse.ai to: create and manage your account; submit content to your digital twin if you are a creator; engage with creator digital twins as a fan; use paid features subject to payment terms; and access your account data as described in our Privacy Policy.

5.2 Prohibited Conduct

You agree not to:

• Use the platform in violation of any applicable law or regulation
• Impersonate any person, entity, or digital twin
• Submit content you do not own or have rights to use
• Attempt to extract, copy, or reverse-engineer any part of the platform, its AI models, or its underlying technology
• Use automated scripts, bots, or scrapers to access, extract, or interact with the platform
• Circumvent any access controls, age verification, or security measures
• Harass, threaten, or harm other users
• Generate, upload, or distribute malware, spam, or phishing content
• Use the platform to infringe any third party’s intellectual property, privacy, or publicity rights
• Resell, sublicense, or commercially exploit the platform or its features without our written consent
• Attempt to gain unauthorized access to other users’ accounts or our systems

6. Content — What You Submit

6.1 Your Content

You retain ownership of content you create and submit to Fan-Verse.ai (“Your Content“). By submitting content, you grant Fan-Verse.ai a worldwide, royalty-free, sublicensable, irrevocable license to use, reproduce, adapt, create derivative works from, and distribute Your Content solely to: (a) operate and deliver the platform services you have requested; (b) train and improve AI voice cloning and likeness synthesis models used to power your digital twin; and (c) display approved content to fans via your digital twin. This license does not authorize Fan-Verse.ai to use Your Content for unrelated commercial purposes or to attribute statements to you that you have not authorized.

6.2 Content Warranties

By submitting content, you represent and warrant that: (a) you own or have all necessary rights to submit it; (b) it does not infringe any third party’s intellectual property, privacy, or publicity rights; (c) it complies with all applicable laws; (d) it is authentic and self-authored — you will not submit AI-generated content falsely attributed to yourself or others; and (e) it does not fall within the Prohibited Content categories in Section 6.3.

6.3 Prohibited Content

You may not submit or use the platform to generate or distribute content that:

• Depicts any real person in a sexual or pornographic context without their verified written consent
• Makes political statements or endorses any candidate, party, or ballot measure on behalf of a real person without their express written authorization
• Constitutes a false endorsement or attributes statements to a real person they have not made
• Depicts any real person committing or endorsing criminal acts
• Makes defamatory statements about any identifiable person or entity
• Makes materially false claims about any real person’s life, career, health, or personal views
• Violates any applicable right of publicity statute, including the Tennessee ELVIS Act, California Civil Code §3344/§3344.1, California AB 2602, or the NO FAKES Act
• Constitutes deceptive advertising, false endorsement, or unfair competition
• Contains hate speech, incites violence, or targets individuals based on protected characteristics
• Violates FTC endorsement and disclosure guidelines, including failure to disclose AI-generated status

Submission of Prohibited Content is a material breach of these Terms and may result in immediate account termination, removal of content, and referral to law enforcement where appropriate. Fan-Verse.ai will remove confirmed Prohibited Content promptly — standard violations within 48 hours; sexual or criminal content within 4 hours.

6.4 Fan-Verse.ai’s Content Rights

Fan-Verse.ai may review, remove, or restrict access to any content at any time without prior notice if we determine in our reasonable discretion that it violates these Terms, creates legal or reputational risk, or is otherwise objectionable. We are not obligated to monitor all content but reserve the right to do so.

7. Digital Twins

7.1 Creator Digital Twins

If you participate as a creator and your likeness and voice are used to create a digital twin, your participation is governed by the Creator Supplemental Terms (available at fan-verse.ai/legal/creator-terms), which supplement these Terms. Creator participants who submit voice recordings, video, or other biometric data must also execute a standalone Biometric Data Handling Notice before any content capture session begins, as required by the Illinois Biometric Information Privacy Act (BIPA), Texas CUBI, and equivalent state statutes. Fan-Verse.ai will provide this notice at onboarding as a condition precedent to biometric data collection. The Creator Supplemental Terms cover NIL consent, AI cloning acknowledgment, content submission rules, revenue share, and your rights to request deactivation of your digital twin.

7.2 Interacting with Digital Twins as a Fan

When you interact with a creator’s digital twin, you are engaging with an AI system that delivers creator-authored content. The digital twin is not a real person and does not have independent opinions, feelings, or intentions beyond the content the creator has authorized. Fan-Verse.ai does not guarantee that a creator’s digital twin reflects that creator’s real-time views or current positions on any matter. Do not rely on digital twin interactions for medical, legal, financial, or other professional advice.

7.3 Fan-Verse.ai’s Ownership of Digital Twins

Fan-Verse.ai owns all digital twins as technical systems — including the AI models, voice clones, likeness synthesis systems, interaction data, and platform infrastructure. Creators retain their underlying NIL rights as set out in the Creator Supplemental Terms. Fans have no ownership interest in any digital twin.

8. Co-Branded Partner Platforms

Fan-Verse.ai’s technology is available through co-branded partner platforms — digital engagement experiences deployed under a partner brand but powered by Fan-Verse.ai infrastructure. If you access Fan-Verse.ai through a co-branded interface:

• You are creating a Fan-Verse.ai account, and these Terms and our Privacy Policy govern your data and platform relationship with Fan-Verse.ai
• The co-branded partner is not a party to your agreement with Fan-Verse.ai and is not responsible for Fan-Verse.ai’s platform or these Terms
• You may access your Fan-Verse.ai account directly at fan-verse.ai at any time
• The partner’s own terms may also apply to your use of their services — those are separate from these Terms

Fan-Verse.ai will always disclose at the point of account creation on a co-branded platform that you are creating a Fan-Verse.ai account and that these Terms and our Privacy Policy apply.

9. Payments, Subscriptions & Revenue

9.1 Paid Features

Some Fan-Verse.ai features require payment, including subscriptions, paid content access, virtual goods, tipping, and donations. All payments are processed by third-party payment processors (currently Stripe). By providing payment information, you authorize us to charge the applicable fees. All fees are in US dollars unless stated otherwise. We do not store full payment card details.

9.2 Subscriptions

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused subscription time except where required by law.

9.3 Refunds

Payments for digital content, virtual goods, and completed transactions are generally non-refundable. We may issue refunds at our discretion for documented technical failures. Disputed charges should be directed to support@fan-verse.ai before initiating a chargeback. Chargebacks initiated without contacting us first may result in account suspension.

9.4 Creator Revenue Share

If you are a creator earning revenue through your digital twin, your revenue share terms are set out in the Creator Supplemental Terms and any applicable Independent Talent & Equity Incentive Agreement (ICA). Fan-Verse.ai pays revenue share on Net Revenue — meaning amounts actually collected after deduction of third-party payment processing fees. Fan-Verse.ai’s own hosting, staff, and infrastructure costs are never deducted from creator revenue share.

10. Intellectual Property

10.1 Fan-Verse.ai’s IP

Fan-Verse.ai and its licensors own all right, title, and interest in: the platform; all software, AI models, algorithms, and technology underlying it; all digital twins as technical systems; all platform-generated outputs, engagement data, and analytics; and all Fan-Verse.ai brand assets. Nothing in these Terms transfers any ownership of Fan-Verse.ai IP to you. Your right to use the platform is a limited license that terminates when your account is closed.

10.2 Your IP

You retain ownership of content you create and submit. You grant Fan-Verse.ai the license described in Section 6.1. Fan-Verse.ai does not claim ownership of Your Content.

10.3 Copyright Infringement — DMCA

If you believe content on Fan-Verse.ai infringes your copyright, send a DMCA notice to our designated agent: legal@fan-verse.ai. Your notice must include: identification of the copyrighted work; identification of the allegedly infringing material; your contact information; a statement of good faith belief; and your signature. Counter-notices may be submitted per 17 U.S.C. §512(g).

10.4 Right of Publicity

Fan-Verse.ai respects right of publicity laws. If you believe your name, image, likeness, or voice is being used on our platform without authorization in violation of applicable law, contact us at legal@fan-verse.ai. We will investigate promptly and take appropriate action including removal within the timelines set out in Section 6.3.

11. Privacy

Your privacy is important to us. Our Privacy Policy (available at fan-verse.ai/legal/privacy) explains what data we collect, how we use it — including for AI model training — how we share it, and your rights. The Privacy Policy is incorporated into these Terms by reference. By using the platform, you consent to the data practices described in the Privacy Policy. California residents have specific rights under the CCPA, including the right to opt out of the sale or sharing of their personal information. See the Privacy Policy for details.

12. Third-Party Services & Links

The platform may contain links to or integrations with third-party services. Fan-Verse.ai is not responsible for the content, privacy practices, or terms of any third-party service. Links do not constitute endorsements. Your use of third-party services is at your own risk and subject to those services’ own terms.

13. Disclaimers

THE PLATFORM AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. FAN-VERSE.AI DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY CONTENT OR DIGITAL TWIN INTERACTION WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (C) THE PLATFORM WILL MEET YOUR REQUIREMENTS. AI-GENERATED OUTPUTS ARE PROBABILISTIC AND DO NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FAN-VERSE.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR PERSONAL INJURY — ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FAN-VERSE.AI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO FAN-VERSE.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to defend, indemnify, and hold harmless Fan-Verse.ai, its officers, directors, employees, agents, and affiliates from all claims, damages, liabilities, costs, and attorneys’ fees arising from: (a) your use of the platform; (b) Your Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) your infringement of any third party’s rights, including intellectual property and right of publicity rights.

16. Termination

16.1 By You

You may delete your account at any time through account settings. Deletion terminates your license to use the platform. Content already submitted to your digital twin may be retained as described in the Privacy Policy and Creator Supplemental Terms. Revenue share earned before deletion will be paid in the next quarterly cycle.

16.2 By Fan-Verse.ai

We may suspend or terminate your account at any time, with or without notice, if we determine you have violated these Terms, engaged in prohibited conduct, or for any other legitimate business reason. We will provide notice where reasonably practicable. On termination, all licenses granted to you under these Terms immediately end.

16.3 Effect of Termination

Sections 6.1 (content license for AI models), 10, 14, 15, 17, 18, and 19 survive account termination. If you are a creator, the survival of your digital twin after termination is governed by the Creator Supplemental Terms.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to the arbitration agreement in Section 18, any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware.

18. Dispute Resolution — Binding Arbitration

18.1 Agreement to Arbitrate

Except as set out in Section 18.4, you and Fan-Verse.ai agree that any dispute, claim, or controversy arising from or relating to these Terms or the platform — including questions of arbitrability — will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, in Delaware.

18.2 Class Action Waiver

YOU AND FAN-VERSE.AI EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. IF A COURT FINDS THIS WAIVER UNENFORCEABLE, THE ARBITRATION PROVISION IN FULL SHALL BE VOID.

18.3 Informal Resolution First

Before filing any arbitration, you must give Fan-Verse.ai written notice of the dispute at legal@fan-verse.ai and allow thirty (30) days for us to attempt to resolve it informally. If unresolved, either party may proceed to arbitration.

18.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or prevent unauthorized use of the platform, without waiving the right to arbitrate the underlying dispute. Small claims court actions within the applicable jurisdictional limit are also excluded.

18.5 Mass Arbitration

If twenty-five (25) or more similar claims are filed against Fan-Verse.ai by users represented by the same counsel, these claims will be subject to a bellwether procedure administered by AAA. The parties will first arbitrate ten representative cases; results will inform settlement negotiations for the remaining cases. Individual arbitration rights remain intact.

18.6 Opt-Out

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to legal@fan-verse.ai with the subject line “Arbitration Opt-Out” and your account email address. Opting out does not affect your rights under the rest of these Terms.

19. General

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Creator Supplemental Terms, constitute the entire agreement between you and Fan-Verse.ai regarding the platform.

19.2 Severability

If any provision is found unenforceable, the remainder continues in full force. Unenforceable provisions are modified to the minimum extent necessary.

19.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

19.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.

19.5 Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, government actions, infrastructure outages, or cyberattacks.
